Terms of Service

Thanks for choosing Lock In. These Terms of Service (the "Terms") govern your access to and use of the Lock In web and mobile applications, dashboards, and related services (collectively, the "Service"). When we say "Lock In," "we," "us," or "our," we mean Lock In Study Planner, Inc. When we say "you," we mean the person or entity using the Service. By creating an account, accessing the Service, or continuing to use it, you agree to be bound by these Terms.

1. Eligibility and Account Responsibilities

You must be at least 13 years old to use the Service. If you are accessing the Service on behalf of an educational institution or other organization, you represent that you have authority to bind that organization to these Terms. You are responsible for maintaining the security of your credentials and for all activity that occurs under your account. 2. Permitted and Prohibited Uses

Lock In is designed to help students, teachers, and learning teams plan and manage academic commitments. You agree not to misuse the Service. Prohibited actions include (a) reverse engineering or circumventing security measures; (b) uploading malicious code; (c) using the Service to harass, discriminate, or violate the rights of others; (d) accessing the Service via automated means without written permission; and (e) using the Service in violation of applicable laws, including student privacy and data-protection regulations in your jurisdiction.

3. Educational Data Stewardship

If you are a teacher, school administrator, or other education professional, you agree to handle any student information available through the Service in accordance with applicable laws, including FERPA or similar local requirements. You may only use the Service for legitimate educational purposes and must obtain all required consents before sharing personal information with us.

4. Subscriptions, Trials, and Billing

Some features of the Service are offered on a paid subscription basis. When you sign up for a subscription, you authorize us or our payment processor to charge the payment method you provide for the applicable fees. Subscription plans renew automatically unless you cancel before the renewal date. We may modify prices or plan features with advance notice; any changes will apply to the next billing cycle. Except where required by law, payments are non-refundable.

5. Third-Party Integrations

The Service integrates with third-party platforms such as Google Calendar to import events or sync availability. When you connect a third-party integration, you authorize us to access and process data from that provider consistent with our Privacy Policy. Third-party services are governed by their own terms, and we are not responsible for their acts or omissions.

6. Intellectual Property and Feedback

Lock In and its licensors retain all rights, title, and interest in and to the Service, including content, interfaces, and proprietary technology. You may not copy, modify, distribute, or create derivative works based on the Service except as permitted in these Terms. If you provide ideas or feedback, you grant us a non-exclusive, worldwide, royalty-free license to use that feedback without restriction.

7. Content You Provide

You retain all rights to the content you submit or upload to the Service. By submitting content, you grant Lock In a license to store, process, and display that content solely to provide and improve the Service and to fulfill your requests. You represent that you have the necessary rights to grant this license and that your content does not infringe any third-party rights.

8. Privacy and Data Protection

Our data practices are described in the Privacy Policy. By using the Service, you acknowledge that we will collect and process your personal information as described there.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LOCK IN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE AMOUNT YOU PAID TO USE THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Lock In and our officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorney fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another party.

11. Suspension and Termination

We may suspend or terminate your access to the Service if we believe you have violated these Terms, pose a security risk, or are using the Service in a manner that could cause harm. You may stop using the Service at any time; to end a paid subscription, use the cancellation controls provided in your account. Sections that by their nature should survive termination (including intellectual property, indemnification, and limitations of liability) will remain in effect.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-law rules. Any dispute arising out of or relating to the Service will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction. Nothing in this section prevents either party from seeking equitable relief in any court of competent jurisdiction.

13. Updates to These Terms

We may modify these Terms from time to time. When we make material changes, we will post the updated Terms on this page and update the "Last updated" date. If changes materially affect your rights or obligations, we will notify you by email or through the Service. Continued use of the Service after an update constitutes acceptance of the revised Terms.
